These Terms and Conditions ("Terms") govern your access to and use of the websites tekunda.com and serpent.cloud, the Serpent application, and any professional services, products or other customer-facing materials provided by Tekunda L.L.C-FZ and its affiliates ("Tekunda", "we", "us" or "our") (together, the "Services"). By accessing or using the Services, creating an account, engaging Tekunda for services, or supplying goods or services to Tekunda as a supplier, vendor, contractor or partner, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptance of Terms
If you use the Services on behalf of a company or other organisation, you represent that you have the authority to bind that organisation to these Terms, in which case "you" and "your" refer to that organisation. These Terms are supplemented by our Privacy Policy and, where applicable, by a signed order form, statement of work or master services agreement. If a signed agreement conflicts with these Terms, the signed agreement prevails.
2. Description of the Services
Tekunda provides Salesforce consulting, implementation and product development services. Serpent is a Salesforce DevOps platform that helps teams plan, review and deploy changes to their Salesforce orgs. Features may vary by plan and may change over time. We may add, modify or discontinue features, provided that we will not materially reduce the core functionality of a paid plan during its current term without notice.
3. Accounts and Registration
To use certain Services you must create an account and provide accurate, complete and current information. You are responsible for keeping your credentials confidential, for all activity under your account, and for ensuring that your users comply with these Terms. Accounts are for your organisation's use and may not be shared with, sold or transferred to third parties. Notify us promptly at [email protected] if you suspect unauthorised use of your account. We may suspend an account that is used in breach of these Terms.
4. Acceptable Use
You agree not to: (a) use the Services for any unlawful purpose or in breach of any applicable law; (b) connect, access or modify a Salesforce org, repository or other system that you are not authorised to use; (c) interfere with or disrupt the integrity, security or performance of the Services; (d) attempt to gain unauthorised access to the Services or related systems; (e) reverse engineer, decompile or otherwise attempt to derive the source code of the Services except where permitted by law; (f) resell, sublicense or provide the Services to third parties without our written consent; or (g) upload malicious code or content that infringes the rights of others.
5. Subscriptions, Fees and Billing
Paid Services are billed in advance according to the plan or order you select. Unless otherwise stated in writing, subscriptions renew automatically for successive terms of the same length until cancelled, fees are exclusive of taxes, and payments are non-refundable except as described in our Refund Policy or required by law. We may change prices for a subsequent term with at least 30 days' notice. If fees are overdue we may suspend the affected Services after notice.
6. Customer Data
You retain all rights, title and interest in the data, metadata, source code, configurations and other content you submit to or connect with the Services ("Customer Data"). You grant Tekunda a limited licence to host, process, transmit and display Customer Data solely to provide, secure, support and improve the Services and as otherwise permitted by these Terms and our Privacy Policy. You are responsible for the accuracy and legality of Customer Data and for having the rights needed to submit it. On termination, you may export Customer Data for a period of 30 days, after which we may delete it in accordance with our retention practices. Where we process personal data on your behalf, a data processing agreement is available on request.
7. Intellectual Property
The Services, including their software, design, documentation, trademarks and content, are owned by Tekunda or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes during your subscription or engagement. Except for Customer Data and deliverables expressly assigned to you in a signed agreement, nothing in these Terms transfers any ownership of the Services to you. Any feedback or suggestions you provide may be used by Tekunda without restriction or compensation.
8. Publicity and Use of Customer Marks
By creating an account, subscribing to the Services, engaging Tekunda, or engaging with Tekunda as a supplier, vendor, contractor or partner, you grant Tekunda L.L.C-FZ and its affiliates, subsidiaries, products, brands (including Serpent) and successors a perpetual, irrevocable, worldwide, royalty-free, non-exclusive licence to use your company name, logo, trademarks and any testimonial, quote, review, feedback or project description that you or your representatives provide, in customer and partner lists, case studies, testimonials, websites, presentations, sales and marketing materials, and press communications, in any medium now known or later developed. This licence survives termination of your account or agreement and cannot be withdrawn. Tekunda will follow any written brand-usage guidelines you supply, will not state or imply that you endorse a specific product you have not used, and will not disclose information you have marked confidential or that is covered by a separate non-disclosure agreement. Where a testimonial or image identifies a named individual, that individual's personal data is handled under our Privacy Policy.
9. Third-Party Services
The Services integrate with third-party platforms such as Salesforce, GitHub and other version control, messaging and identity providers. Your use of those platforms is governed by their own terms and privacy policies, and Tekunda is not responsible for their availability, content or conduct. Enabling an integration authorises Tekunda to exchange data with that provider on your behalf as needed to operate the integration. The Services may also contain links to third-party websites that we do not control.
10. Confidentiality
Each party will keep confidential any non-public business, technical or financial information disclosed by the other party in connection with the Services, will use it only to perform under these Terms, and will protect it with at least reasonable care. This obligation does not apply to information that is or becomes public without breach, was already known to the recipient, is independently developed, or must be disclosed by law, and it does not limit the licence granted in section 8.
11. Disclaimers and Limitation of Liability
Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that deployments made through Serpent will be free of defects; you remain responsible for reviewing and testing changes before releasing them to production. To the fullest extent permitted by law, Tekunda will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, and our total liability arising out of or relating to the Services will not exceed the amounts you paid to Tekunda in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Termination
You may stop using the Services or cancel your subscription at any time through your account or by contacting us; cancellation takes effect at the end of the current billing term. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within 14 days of notice, or immediately where the breach threatens the security or integrity of the Services or other customers. On termination your licence to use the Services ends, and sections 6 to 8, 10, 11, 13 and 15 survive.
13. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which Tekunda L.L.C-FZ is registered, without regard to its conflict-of-law rules. The parties will first attempt in good faith to resolve any dispute through negotiation; any dispute that cannot be resolved within 30 days will be submitted to the competent courts of that jurisdiction. Nothing in this section deprives a consumer of the protection of mandatory laws of their country of residence.
14. Changes to these Terms
We may update these Terms from time to time. For material changes we will give at least 14 days' notice by email, in-app notice or a prominent notice on our websites before the change takes effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services before that date.
15. Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in full force. These Terms, together with any documents referenced in them and any signed agreement, are the entire agreement between you and Tekunda regarding the Services. Our failure to enforce any provision is not a waiver of it.
